### 1. Acceptance of Terms

By using the services of Sky Wave Marketing LLC (“Sky Wave Marketing,” “we,” “our,” “us”), you agree to these Terms & Conditions. If you do not agree, do not use our services.

### 2. Services Provided

We offer marketing, advertising, consulting, branding, lead generation, CRM setup, automation, and related digital services. Service scope, deliverables, and timelines may vary per project or agreement.

We reserve the right to refuse service to anyone for any reason.

### 3. Client Responsibilities

Clients agree to:

- Provide accurate information and required assets (logos, business details, content, etc.)

- Maintain valid and active payment information

- Approve content in a timely manner

- Follow applicable marketing and communication regulations (TCPA, CAN-SPAM, etc.)

Failure to cooperate may delay delivery; delays caused by client inaction are not Sky Wave Marketing’s responsibility.

### 4. Payments & Billing

- Payments are due at the time of ordering unless stated otherwise

- Deposits may be required to begin work

- All payments are final unless otherwise stated in writing

- Subscriptions renew automatically unless canceled prior to the billing cycle

Refunds are not issued for:

- Completed work

- Subscription periods already billed

- Ad spend once campaigns launch

### 5. Cancellations

- Cancel subscriptions before the next billing period to avoid charges

- For project-based services, cancellation fees may apply based on work completed

### 6. Results Disclaimer

Marketing results vary. We do not guarantee specific outcomes including, but not limited to:

- Sales

- Leads volume

- Conversion rates

- Revenue results

- Appointment quality

- Customer acquisition

We provide strategy, systems, tools, content, and campaign support — execution success depends on the client’s business, offer, follow-up, and operations.

### 7. Use of Personal Data

Client data and lead information are collected and processed under our Privacy Policy.

### 8. Intellectual Property

All systems, funnels, creatives, templates, scripts, and frameworks created by Sky Wave Marketing remain our intellectual property unless a written transfer agreement is signed.

Client-specific branding and proprietary files remain the property of the client.

### 9. Communication Consent

By submitting information or opting into our forms, you agree to receive calls, emails, and SMS from us. You may opt-out at any time by responding STOP.

### 10. Limitation of Liability

Sky Wave Marketing is not responsible for:

- Business losses

- Platform bans or restrictions

- Asset/website account suspensions due to client activity

- Third-party system outages

- Misuse of our tools by the client

- Client’s non-compliance with advertising or communication laws

We are not liable for damages exceeding the price paid for services.

### 11. Governing Law

These Terms are governed by the laws of the State of California, United States.

### 12. Modifications

We may modify these Terms & Conditions at any time. Continued use of our services constitutes acceptance of changes.
